SINUS TP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, EVEN IF SINUS TP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
2. IN NO EVENT SHALL SINUS TP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO SINUS TP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100);
3. THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF SINUS TP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions or limitations are not permitted by applicable law, they shall apply to the maximum extent permitted.

12. Indemnification

You irrevocably submit to the personal jurisdiction of the courts of Singapore and waive any objection to the laying of venue in such courts.

14. Dispute Resolution

14.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, we encourage you to first contact us directly at info@sinustp.com to seek an amicable resolution. Both parties agree to negotiate in good faith for a period of not less than thirty (30) days before pursuing any formal dispute resolution mechanism.

14.2 Mediation

If the parties are unable to resolve a dispute through informal negotiation within the period specified above, either party may submit the dispute to mediation administered by the Singapore Mediation Centre (SMC) in accordance with its then-current mediation rules. The mediation shall be conducted in English, in Singapore, and the costs of mediation shall be shared equally by the parties unless otherwise agreed.

14.3 Arbitration

If a dispute cannot be resolved through mediation, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.

14.4 Small Claims

Notwithstanding the foregoing, either party may bring an action in Singapore's Small Claims Tribunals for claims that fall within the jurisdiction of that tribunal.

15. Term and Termination

15.1 Duration

These Terms shall remain in full force and effect for as long as you access or use the Website or Services. Certain provisions of these Terms that by their nature should survive termination shall continue to apply after termination, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

15.2 Termination by You

You may terminate your agreement with us at any time by discontinuing your use of the Website and Services and, where applicable, by closing your account. Termination does not relieve you of any obligations incurred prior to termination, including any payment obligations.

15.3 Termination by Sinus TP

Sinus TP shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions or restrictions, war, terrorism, civil unrest, labour disputes, power failures, internet service disruptions, or failure of third-party service providers. In such circumstances, our obligations shall be suspended for the duration of the force majeure event.

20. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any purported assignment without such consent shall be null and void.
